Certain offerings may not be applicable to all clients.

1 Deposits of Collateral, Lien on Accounts, and Liquidation: In the event that additional collateral is requested due to a downturn in the market and/or the decline in value of your securities held as collateral, the undersigned may be required to deposit funds or acceptable securities into the brokerage or managed account(s) in order to restore the level of collateral to an acceptable level. If satisfactory collateral is not promptly deposited after a request is made, BNY Pershing may, at its discretion, liquidate securities held in any of the undersigned accounts. If securities are liquidated based on the need for additional collateral, the undersigned understands that there may be tax implications associated with the liquidation, such as capital gains tax, depending on your cost basis in the collateral and other factors affecting your tax status.

2 To participate in the Fully Paid Securities Lending program, clients must maintain a minimum of $250,000 in their accounts held with BNY Pershing. Investors should consult their tax advisors prior to participating in this program. Enrollment in the Fully Paid Securities Lending program does not guarantee that BNY Pershing will actually borrow securities from your clients. BNY Pershing will borrow securities based on the needs of its business.

3 Margin may not be appropriate for all investors and the risks should be carefully evaluated. Purchasing securities on margin can expose accounts to the potential for higher losses and accounts can lose more funds than deposited in Margin accounts. If the market value of a portfolio depreciates, additional funds or marginable securities may be required. Failure to satisfy account maintenance requirements will result in restrictions on accounts and/or liquidation of sufficient securities to bring accounts to an acceptable equity level. Maintenance requirements may increase at any time without prior notice.
